Terms of Service

These terms govern use of PlanDesk, a business operations service provided by LOOKERO HUB S.L., sociedad unipersonal, Calle Paseo de Gracia 19, Planta Baja, 08007 Barcelona, Spain, NIF B22726335 (we, us).

By creating an account or using PlanDesk, you accept these terms.

1. The service

PlanDesk is software for businesses. It can include invoicing, contacts, products, stock, POS, documents, and related tools. Features depend on your workspace and plan. We may improve, add, or withdraw features with reasonable notice when the change is material.

PlanDesk is a tool. You remain responsible for your tax, accounting, e-invoicing, and sector duties in the countries where you operate.

2. Eligibility and account

  • You must be at least 18 years old.
  • You must provide accurate information and keep it current.
  • If you act for a company, you confirm you may bind that company.
  • You keep credentials confidential and tell us promptly of unauthorised use.
  • You are responsible for activity under your account and workspace, including staff you invite.

3. Acceptable use

You may use PlanDesk for lawful business purposes.

You may not:

  • break the law or store unlawful content
  • attempt unauthorised access, overload, or reverse engineer the service except as permitted by law
  • send spam or malware
  • infringe others' intellectual property or privacy
  • resell the service without a written agreement with us

We may suspend or close an account that violates these terms, after notice where reasonable and legally required.

4. Fees

Paid plans are billed in advance, monthly or annually, as shown at checkout. Prices may change with at least 30 days' notice for the next term.

Payment is processed by a third-party provider. Failed payment may lead to restriction or suspension.

Refunds are given only where Spanish or EU law requires them, or where we agree in writing.

5. Your data

You retain rights in the content you and your users put into a workspace.

You grant us a licence to host, copy, and process that content solely to provide, secure, and improve the service, and to meet the law.

For workspace content, you are the controller and we are the processor. The Privacy Policy describes this split. You warrant that you have a lawful basis to upload personal data of your customers and staff.

6. Intellectual property

PlanDesk, the software, and related marks belong to LOOKERO HUB S.L. or its licensors. You receive a limited, non-exclusive, non-transferable right to use the service during your subscription. You may not copy or modify the software except as the law allows.

7. Availability and liability

We aim for a reliable service. We do not warrant uninterrupted or error-free operation.

To the extent Spanish law allows for contracts between businesses:

  • we are not liable for indirect loss, lost profit, or lost data, except where caused by intent or gross negligence
  • our aggregate liability for a claim is limited to the fees you paid us for PlanDesk in the twelve months before the claim

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.

8. Consumers

PlanDesk is aimed at businesses. If mandatory consumer law applies to you:

  • you keep the rights that Spanish and EU consumer law cannot exclude, including the Ley General para la Defensa de los Consumidores y Usuarios (LGDCU)
  • for distance contracts, you may have a 14-day right of withdrawal. That right can end early if the digital service starts with your express request and acknowledgement that you lose the withdrawal right
  • you may use the EU ODR platform: https://ec.europa.eu/consumers/odr/
  • we are not obliged to use a consumer arbitration board unless the law requires it

9. Term and termination

You may close your account at any time. We may end the contract for cause if you seriously breach these terms, or for convenience at the end of a paid term with notice.

After termination we will disable access. We will delete or return workspace content according to the Privacy Policy and any processor terms, except data we must keep by law.

10. Law and venue

These terms are governed by the law of Spain.

Unless a mandatory rule gives you another venue (in particular as a consumer), the courts of the city of Barcelona have jurisdiction.

11. Changes

We may update these terms. We will change the date above and, for material changes, give reasonable notice (for example by email or in the app). If you continue to use PlanDesk after the change takes effect, the new terms apply, unless you terminate before then.
